Company structuring in Qatar
Decide who owns what before the company exists.
Structure is the part of a company that is hardest to change later. A change means share transfers, amended registrations and a new review by your bank.
The structure decides who controls the company, who is liable for its debts and how profit reaches the owners. It also shapes your tax position, your banking and your options if you later sell or bring in investors. These are the main structures:
The main structures
Limited liability company
A standalone company. Owners are liable only up to their capital.
Subsidiary
A separate company in Qatar owned by a parent company abroad. The parent’s liability is limited to its investment.
Branch office
An extension of a foreign company, not a separate legal entity. The parent remains liable for what the branch does.
Joint venture
Two or more parties combine for a shared business, either in a new company or by contract. Shares, control and exit are fixed in the agreement.
Holding company
A company that owns shares in other companies. A passive holding only owns assets and receives the income from them, with no operating business and usually no staff. An active holding also manages its subsidiaries, sets strategy and provides central services such as finance or management.
Representative office
A presence for liaison and promotion, without the right to trade or invoice.
How we work
Our approach
We start with the owners and the goals. Who holds the shares, who runs the business and where the profit is meant to go. If you already own companies elsewhere, such as a GmbH in Germany, we look at how the Qatar entity fits next to them. You then receive our recommendation. It names one structure, gives the reasons and shows what the alternatives would mean for liability, control and reporting.
Delivery
After your decision, we prepare the shareholder arrangements and the corporate documents. We set out who decides what, including the powers of the manager and what happens when a partner leaves. Where you work with lawyers or tax advisers, we work alongside them. The structure is put in place as part of the incorporation, so it is correct from the first day.
Speak to the adviser who will handle your mandate.
